2. Services Offered
HNB IT Solutions Private Limited provides the following services:
AI Tools Development
Mobile App Development (E-Commerce App, Food Delivery App, etc.)
Web App Development (News Websites, E-Commerce Websites, etc.)
Payment Gateway Services (Razorpay Approval & Others)
SMS & Bulk SMS Services
Digital Marketing Services
Software Consultancy
3. Intellectual Property
All intellectual property rights, including but not limited to source code, software, designs, and content, developed by HNB IT Solutions Private Limited remain our property until full payment is received.
Upon 100% payment, the client is granted a non-exclusive, royalty-free license to use the developed project for its intended purpose.
Clients are not allowed to resell, replicate, or misuse the software without prior written permission.
4. Term and Termination
Duration: Project agreements remain valid until final delivery unless otherwise specified.
Termination by Us: We may terminate the agreement in cases of non-payment, misuse, or violation of terms.
Termination by Client: Clients may terminate with 14 days’ written notice, subject to clearance of outstanding dues.
Effect of Termination: All services will cease immediately, and pending payments must be settled within 15 days.
Survival Clauses: Confidentiality, IP rights, and dispute resolution remain enforceable after termination.
5. Warranties and Disclaimers
No Warranty: Due to the nature of software development, we do not provide warranties or guarantees.
Third-party Services: We are not responsible for downtime, issues, or damages caused by third-party services (e.g., hosting, payment gateways, SMS providers).
Force Majeure: We are not liable for service delays due to events beyond our control (natural disasters, cyberattacks, government actions, etc.).
Limitation of Liability: We are not liable for indirect damages such as loss of profits, data, or business interruption.
6. Indemnification
The client agrees to indemnify HNB IT Solutions Private Limited against any claims, damages, or liabilities arising from their misuse of our services or breach of agreement.
7. Client Obligations
Clients must provide clear project requirements, timely feedback, approvals, and necessary resources.
Clients are responsible for ensuring that provided data/content does not violate third-party rights or laws.
Delays due to client non-cooperation may extend project timelines.
Additional charges will apply for changes/revisions beyond the original project scope.
8. Payment Terms
Payment Methods: Bank Transfer, UPI, or approved payment gateways.
Payment Schedule:
50% upfront to begin the project.
Remaining 50% upon delivery/completion.
Late Payments: 10% penalty will apply if payments are not made on time.
⚠️ Note: As per company policy, Refunds are not applicable once services are delivered or development work has started.
9. Confidentiality
Both parties agree to maintain confidentiality of sensitive data, source code, client information, and project-related materials.
Confidentiality obligations continue even after termination of the agreement.
10. Governing Law & Jurisdiction
This agreement shall be governed by the laws of Delhi, India. Any disputes will be subject to the exclusive jurisdiction of Delhi courts.
